Algemene voorwaarden

Artikel 1. Definities

1.1 In deze algemene voorwaarden worden de hierna volgende termen in de navolgende betekenis gebruikt, tenzij uitdrukkelijk anders is aangegeven of uit de context anders blijkt:
- Floral Stories: de gebruiker van deze algemene voorwaarden: Floral Stories genoemd, gevestigd aan de Meulenakker 5A te Sleen, ingeschreven bij de Kamer van Koophandel onder KvK-nummer 78419961;

Algemene voorwaarden: Deze algemene levering- en betalingsvoorwaarden van Floral Stories.

Overeenkomst: iedere overeenkomst die tussen Floral Stories en de contractspartij tot stand komt, elke wijziging daarvan of aanvulling daarop.

Contractspartij: iedere natuurlijke persoon niet handelend in uitoefening van een beroep of bedrijf aan wie Floral Stories een aanbieding of een prijsopgave doet, offerte uitbrengt, met wie Floral Stories een overeenkomst aangaat, dan wel daarover onderhandelt, tevens “contractspartij”.

Bedrijf/ondernemer: iedere rechtspersoon en natuurlijke persoon handelend in uitoefening van een beroep of bedrijf aan wie Floral Stories een aanbieding of een prijsopgave doet, offerte uitbrengt, met wie Floral Stories een overeenkomst aangaat, dan wel daarover onderhandelt, tevens te noemen “contractspartij”.

Bedenktijd: de termijn waarbinnen de contractspartij gebruik kan maken van zijn herroepingsrecht.

Herroepingsrecht: de mogelijkheid voor de contractspartij om binnen de bedenktijd af te zien van de overeenkomst op afstand.

Overeenkomst op afstand: een overeenkomst waarbij in het kader van een door Floral Stories georganiseerd systeem voor verkoop op afstand van producten en/of diensten, tot en met het sluiten van de overeenkomst uitsluitend gebruik gemaakt wordt van één of meer technieken voor communicatie op afstand.

Techniek voor communicatie op afstand: middel dat kan worden gebruikt voor het sluiten van een overeenkomst, zonder dat contractspartij en ondernemer fysiek gelijktijdig in dezelfde ruimte zijn samengekomen.

Website: de website www.floralstories.nl die in het beheer is bij Floral Stories.

Bloemen: geldend voor alle bloemen die de klant ter preparatie aan Floral Stories aanbiedt.

Artikel 2. Algemeen
2.1 Op een overeenkomst is altijd die versie van de algemene voorwaarden van toepassing zoals laatstelijk gedeponeerd bij de Kamer van Koophandel op de datum van het tot stand komen van de overeenkomst.
2.2 Indien een bepaling van deze algemene voorwaarden nietig is, (geheel of gedeeltelijk) vernietigbaar is of onverbindend wordt, blijven de overige bepalingen volledig van kracht. Floral Stories en de contractspartij zullen dan in overleg treden om een nieuwe bepaling overeen te komen, die zoveel mogelijk aansluit op- en rekening houdt met doel en strekking van de nietige, vernietigde of onverbindend verklaarde bepaling.
2.3 Naast deze algemene voorwaarden kunnen – uitsluitend indien dit expliciet is aangegeven – aanvullende voorwaarden zoals speciale actievoorwaarden van toepassing zijn op bepaalde diensten en/of producten al dan niet in een specifiek aangegeven periode. Mochten er tussen de aanvullende voorwaarden en deze algemene voorwaarden verschillen bestaan dan gelden, in beginsel, die bepalingen uit de aanvullende voorwaarden boven deze algemene voorwaarden, tenzij anders is bepaald.
2.4 Indien de koper naar zijn algemene (inkoop)voorwaarden verwijst, zijn die voorwaarden niet van toepassing, tenzij hiermee uitdrukkelijk schriftelijk door Floral Stories is ingestemd.
2.5 Floral Stories behoudt zich het recht voor om deze algemene voorwaarden te wijzigen.

Article 7. Right of withdrawal and cancellation
7.1. The products that Floral Stories delivers are custom-made. As a result, the right of withdrawal does not apply based on the legal exception and the customer does not have the right to dissolve the agreement within 14 days.
7.2. Cancellation of the order is possible within 24 hours after the conclusion of the agreement. Cancellation must be done by telephone or e-mail. If Floral Stories has already incurred costs in connection with the order at the time of cancellation, Floral Stories has the right to charge these costs to the customer as cancellation costs.

Article 8 Prices and price changes
8.1 All prices stated are inclusive of VAT.
8.2 If the customer changes the order, this may result in additional costs.
8.3 If the condition of the flowers is worse than the customer has informed Floral Stories, this may lead to additional costs.
8.4 The additional costs as described in this article will be charged to the customer. The customer will be informed of the additional costs as soon as possible.

Article 9 Delivery and shipping costs
9.1 The customer can personally deliver the flowers that need to be prepared to Meulenakker 5A in Sleen , or to one of the other delivery locations designated by Floral Stories . If the customer chooses to send the flowers by post, the customer is at all times responsible for proper packaging. Any transport damage will always be repaired in consultation with the customer. This may result in additional costs.
9.2 When the preparation is ready, Floral Stories will contact the customer. The customer can pick up his preparation in Sleen by appointment. Floral Stories can also send the preparation to the customer by post. Of course, the risk of damage is greater in this case.
9.3 Floral Stories is not responsible for any damage and/or loss caused by the delivery service during the delivery process.
9.4 Transport damage must be reported to Floral Stories by the customer as soon as possible by email.
9.5 Any insurance costs shall be borne by the buyer.

Article 10 Customer's flowers
10.1 Floral Stories will take all security measures that can reasonably be expected of it in connection with the possession of the customer's flowers to prevent damage to, loss or theft of the flowers.
10.2 Floral Stories is never liable for damage to, loss of or theft of the flowers during the period that Floral Stories has the flowers in its possession, unless there is intent or deliberate recklessness on the part of Floral Stories.

Article 11 Delivery time
11.1 Delivery times can vary from 5 to 26 weeks. At the time of his order, the customer can inquire about the current delivery times.
11.2 All delivery times indicated by Floral Stories have been determined to the best of our knowledge and will be observed as much as possible.
11.3 In the event that a delivery period agreed with the customer is exceeded as a result of an event that is in fact beyond the control of Floral Stories and cannot be attributed to its actions and/or omissions, this period will be automatically extended by the period by which it was exceeded as a result of such an event.

Article 12 Payment
12.1 When Floral Stories has received full payment, the preparation will be shipped.
12.2 When shipping abroad, payment must always be made in advance.

Article 13 Failure to pay
13.1 The customer must collect and/or pay for the preparation within 14 days after Floral Stories has notified the customer by telephone or email that his preparation is ready. If payment is not made and the customer has not responded to a notice of default sent, Floral Stories will be forced to engage a debt collection agency. The additional collection costs, in accordance with the Debt Collection Costs Act, and interest will then be added to the outstanding amount.
13.2 If the customer has not paid the invoice within one (1) month, Floral Stories is entitled to sell the product made to another party.
13.3 Until the eventual sale to a third party has been successful, the customer remains responsible for the payment of the invoice. If the product is sold to a third party, the customer remains responsible for the collection costs incurred.

Article 14 Complaints and warranty
14.1 The customer is obliged to check upon receipt of the preparation whether the preparation meets the requirements arising from the agreement. If the customer is of the opinion that the preparation does not meet the requirements, he must inform Floral Stories of this as soon as possible, in writing or by e-mail and with reasons.
14.2 Complaints submitted to Floral Stories will be answered within a period of 14 days from the date of receipt. If a complaint requires a foreseeable longer processing time, Floral Stories will respond within the period of 14 days with a confirmation of receipt and an indication of when the customer can expect a more detailed answer.
14.3 The preparation is guaranteed for 6 months against the colour gradient of the epoxy.
14.4 Floral Stories does not offer any warranty on resin castings that have been kept outside.
14.5 Complaints about the preparation will not be considered (further) and the warranty will lapse if:
a. the defect is not reported to Floral Stories immediately after the defect was discovered;
b. the customer has carried out or had carried out repair or other work on the preparation;
c. the defect is caused by the customer or by a third party, such as impact or dropping.

Article 15 Drying process
15.1 Floral Stories dries the flowers as soon as possible after receipt and takes the utmost care in preserving them.
15.2 Flowers can be sensitive to discolouration during the drying process. Flowers may become darker or lighter in colour, or even change colour, due to the drying process. This is a normal process that Floral Stories cannot influence. Such colour changes are not covered by the guarantee.
15.3 Flowers may shrink during the drying process.

Article 16 Resin castings
16.1 When the customer has a flower or other item cast in resin by Floral Stories, this is entirely at their own risk. The customer must be aware that casting in resin always involves a risk and that no two castings are the same. In such a case, Floral Stories cannot be held liable for damage to the customer's property.
16.2 It may happen that the casting is not one hundred percent round or square, that the adhesion of the mold is visible on the outside of the object or that the flower has become impregnated, causing it to appear semi-transparent in places.
16.3 Despite the added UV filter, the sun accelerates the aging process. It is therefore important to keep the preparation out of the sun at all times.
16.4 Floral Stories does not provide any guarantee against the formation of air bubbles in the resin casting or against any discolouration of the flowers when it comes into contact with epoxy.

16.5 Floral Stories does not provide a guarantee for natural discolouration of flowers. For example, it is possible that light-coloured flowers may become more yellow over time.
16.6 Due to the multiple resin castings, lines from the various castings may be visible in the preparation.
16.7 If Floral Stories definitively ceases the production of resin castings, the customer cannot oblige Floral Stories to repair any damage to resin castings.

Article 17 Liability
17.1 Floral Stories will fulfil its obligations as may be expected of a company in its industry, but accepts no liability whatsoever for damage, including death and personal injury, consequential damage, business damage, loss of profits and/or stagnation damage, resulting from actions or omissions of Floral Stories or third parties engaged by it, unless mandatory legal provisions oppose this.
17.2 The limitations of liability included in this article do not apply if the damage is due to intent and/or deliberate recklessness on the part of Floral Stories.
17.3 Floral Stories is not liable for any damage caused by temporary unavailability of the ordering option, inaccessibility or removal of its website due to maintenance or otherwise.
17.4 Floral Stories is not liable for damage of any nature whatsoever resulting from Floral Stories relying on incorrect and/or incomplete information provided by the customer.
17.5 Floral Stories is not liable for mutilation or loss of data as a result of sending the data using telecommunications facilities.
17.6 Floral Stories cannot be held liable for immaterial damage.
17.7 If Floral Stories is liable for any damage, then the liability of Floral Stories is limited to the amount of the payment made by the insurer of Floral Stories. If the insurer does not pay out in any case or the damage is not covered by the insurance, then the liability of Floral Stories is limited to the invoice amount, or at least to that part of the agreement to which the liability relates.
17.8 Floral Stories is not liable for damage of any nature whatsoever due to the product containing sharp edges/corners.

Article 18 Force Majeure
18.1 Floral Stories is not obliged to fulfil one or more obligations under the agreement or to pay damages in the event of force majeure.
18.2 Force majeure shall also be understood to mean a non-attributable shortcoming of a supplier of Floral Stories.
18.3 If Floral Stories knows or suspects that it will not be able to deliver the order (in part) on time due to force majeure, Floral Stories will inform the customer of this as soon as possible by e-mail.

Article 19 Suspension and termination
19.1 Floral Stories is entitled to suspend the performance of the agreement with immediate effect if, after the conclusion of the agreement, Floral Stories becomes aware of circumstances that give good reason to fear that the customer will not fulfil the obligations.
19.2 Floral Stories is authorized to terminate the agreement if the customer does not or does not fully comply with the obligations under the agreement and the customer has not responded to a sent notice of default. If compliance is permanently impossible, a notice of default may be omitted.
19.3 Furthermore, Floral Stories is authorized to terminate the agreement if circumstances arise which are of such a nature that compliance with the agreement is impossible or can no longer be reasonably expected, or if circumstances arise which are of such a nature that continued existence of the agreement unchanged cannot reasonably be expected.
19.4 Floral Stories is authorized to terminate the agreement if the customer requests or is granted a suspension of payments, if the customer is declared bankrupt or a request to that effect is filed, if the customer is unable to pay his debts, is placed under guardianship, or if an administrator is appointed.
19.5 If Floral Stories suspends or dissolves, it is in no way obliged to compensate for any damage or costs incurred in any way as a result.

Article 20 Applicable law and competent court
20.1 Dutch law applies to the agreement between Floral Stories and the customer.
20.2 All disputes concerning agreements between the customer and Floral Stories will be submitted to the competent court in the district where Floral Stories is established. The customer has 1 month after Floral Stories has invoked this clause in writing to the customer, to choose to have the dispute settled by the legally competent court.

Article 21 Retention periods
21.1 Floral Stories maintains a retention period of fourteen days (two weeks) for the flowers and/or personal items such as ribbons and jewelry supplied by the customer. If the customer does not respond to a request for contact, Floral Stories is authorized to destroy the aforementioned items. This applies in the following situations;
21.2 The customer has delivered his flowers, but has failed to communicate about further wishes.

Article 22 Final provision
22.1 In cases not provided for in these Terms and Conditions, Dutch law shall also apply.
22.2 If and to the extent that any part or provision of these Terms and Conditions appears to be in conflict with any mandatory provisions of national or international law, it will be deemed not to have been agreed and these Terms and Conditions will otherwise continue to bind the parties.
22.3 If one or more of the provisions described above are found to be null and void or are annulled, the other provisions will remain fully applicable. Null and void or voidable provisions will also remain in force if these provisions have only been found to be partially null and void or voidable. Null and void or voidable provisions will be replaced by provisions that, in terms of purpose and content, correspond as closely as possible to the objectives of the null and void or voidable provision.

Artikel 3. Toepasselijkheid
3.1 Deze algemene voorwaarden zijn van toepassing op alle aanbiedingen en/of op alle overeenkomsten en overeenkomsten op afstand door Floral Stories aangegaan met derden.
3.2 Bekendmaking kan onder meer geschieden door het vooraf aan de wederpartij ter hand stellen van een exemplaar van de algemene voorwaarden.
3.3 Voorafgaand aan het sluiten van de overeenkomst op afstand, wordt de tekst van deze algemene voorwaarden aan de contractspartij beschikbaar gesteld. Indien dit redelijkerwijs niet mogelijk is, zal voordat de overeenkomst op afstand wordt gesloten, worden aangegeven dat de algemene voorwaarden bij Floral Stories zijn in te zien en zij op verzoek van de contractspartij zo spoedig mogelijk kosteloos worden toegezonden.
3.4 Tenzij schriftelijk anders overeengekomen worden de onder 1 bekend gemaakte algemene voorwaarden geacht door de betrokken partijen te zijn geaccepteerd.
3.5 Afwijkende bepalingen dienen uitdrukkelijk schriftelijk te worden overeengekomen en worden, voor zover deze niet in de plaats treden van de bepalingen van deze voorwaarden, geacht deze voorwaarden aan te vullen.

Artikel 4. Aanbiedingen/aanbod
4.1 Alle door of namens Floral Stories mondeling of in prijscouranten, dag- of weekbladen, periodieken, aankondigingen, brieven en online aanbiedingen ter zake van prijzen, offertes, leveringstermijnen e.d. zijn geheel vrijblijvend en voor Floral Stories op geen enkele wijze bindend, tenzij uitdrukkelijk anders vermeld.
4.2 Alle door Floral Stories uitgebrachte op naam gestelde offertes hebben een geldigheidsduur van 7 (zeven) dagen na de dagtekening van de offerte, tenzij in de offerte anders is vermeld
4.3 Aanbiedingen zijn slechts geldig gedurende de aangegeven actieperiode en zolang de voorraad strekt.
4.4 Bij prijsopgave bestaat geen verplichting voor Floral Stories tot levering van een gedeelte tegen een overeenkomstig gedeelte van de voor het geheel opgegeven prijs.
4.5 De verkoopprijs luidt in euro’s inclusief BTW, maar exclusief de eventuele verzend- of bezorgkosten.
4.6 Kennelijke (schrijf)fouten in prijs of omschrijving van een product kunnen door Floral Stories altijd worden gecorrigeerd. Indien de contractspartij evenwel op basis daarvan tot het aangaan van een overeenkomst mocht hebben besloten, dan kan hij deze Overeenkomst binnen veertien (14) dagen nadat Floral Stories de betreffende (schrijf)fout kenbaar heeft gemaakt annuleren.

4.7. Het staat Floral Stories vrij om foto's en video's te plaatsen van de door Floral Stories ontvangen bloemen en gemaakte items. Hier kan geen aanspraak op worden gemaakt.

Artikel 5. Privacy en AVG

5.1 Floral Stories is gehouden om de Uitvoeringswet Algemene Verordening Gegevensbescherming (AVG) en overige wet- en regelgeving betreffende de verwerking van persoonsgegevens na te leven en overeenkomstig te handelen. Bij de overeenkomst op afstand wordt tevens naar het privacy statement op de website van Floral Stories verwezen.

Artikel 6. Overeenkomst
6.1. De overeenkomst komt tot stand nadat de klant uitdrukkelijk akkoord is gegaan met het aanbod en de algemene voorwaarden van Floral Stories.
6.2. Nadat de overeenkomst tot stand is gekomen, stuurt Floral Stories de klant onverwijld een bevestiging via de e-mail. In deze bevestigingsmail zijn de gegevens van de bestelling van de klant opgenomen. Indien de klant geen bevestigingsmail van Floral Stories heeft ontvangen of indien de bevestigingsmail de bestelling van de klant niet correct weergeeft, dan dient de klant zo spoedig mogelijk contact op te nemen met Floral Stories.
6.3 Overeenkomsten (uitgezonderd koop en verkoop tegen contante betaling) welke al dan niet door bemiddeling van tussenpersonen zijn aangegaan, worden eerst door schriftelijke bevestiging van Floral Stories voor hem bindend.
6.4 Wijzigingen in de oorspronkelijke overeenkomst, van welke aard ook, schriftelijk of mondeling door of namens wederpartij aangebracht, die hogere kosten veroorzaken dan waarop bij de prijsopgave kon worden gerekend, kunnen de wederpartij extra door Floral Stories in rekening worden gebracht.

6.5 Floral Stories zal de overeenkomst naar beste inzicht en vermogen en overeenkomstig de eisen van goed vakmanschap uitvoeren.
